  42. GRANT.  Subject to payment of applicable license fees,
  43. Reynold M. de Guzman  grants to you a non-exclusive 
  44. license to use the Software and accompanying
  45. documentation ("Documentation") in the manner described
  46. in Part III below under "Scope of Grant."
  47.  
  48. LIMITED WARRANTY.
  49.  
  50. This program Freeware.  You are not required to pay for it.
  51.  
  52. Reynold M. de Guzman warrants the Software, for a period 
  53. of 30 days after acquisition if operated as directed, 
  54. will substantially achieve the functionality described 
  55. in the online Documentation. Reynold M. de Guzman 
  56. does not warrant, however, that your use of the Software 
  57. will be uninterrupted or that the operation of the 
  58. Software will be error-free or secure.  
  59.  
  60. THIS IS A LIMITED WARRANTY AND IT IS THE ONLY WARRANTY
  61. MADE BY Reynold M. de Guzman.  Reynold M. de Guzman 
  62. MAKES NO OTHER EXPRESS WARRANTY AND NO WARRANTY OF

  71. ADDITIONS TO THIS WARRANTY.  If any modifications are
  72. made to the Software by you during the warranty period;
  73. if the media is subjected to accident, abuse, or
  74. improper use; or if you violate the terms of this
  75. Agreement, then this warranty shall immediately be
  76. terminated.  This warranty shall not apply if the
  77. Software is used on or in conjunction with hardware or
  78. software other than the unmodified version of hardware
  79. and software with which the software was designed to be
  80. used as described in the Documentation.  THIS WARRANTY
  81. GIVES YOU SPECIFIC LEGAL RIGHTS, AND YOU MAY HAVE OTHER
  82. LEGAL RIGHTS THAT VARY BY JURISDICTION.

  84. PART II -- TERMS APPLICABLE TO ALL LICENSE GRANTS
  85.  
  86. SCOPE OF GRANT.

  88. You may:
  89. * use the Software on any single computer;
  90. * use the Software on a second computer so long as only
  91.   one copy is used at a time;
  92. * copy the Software for archival purposes, provided any
  93.   copy must contain all of the original Software's
  94.   proprietary notices; or
  95.  
  96. You may not:
  97. * permit other individuals to use the Software;
  98. * permit concurrent use of the Software;
  99. * modify, translate, reverse engineer, decompile,
  100.   disassemble (except to the extent applicable laws
  101.   specifically prohibit such restriction), or create
  102.   derivative works based on the Software;
  103. * copy the Software other than as specified above;
  104. * rent, lease, grant a security interest in, or
  105.   otherwise transfer rights to the Software; or
  106. * remove any proprietary  notices or labels on the
  107.   Software.
  108.  
  109. TITLE.
  110.  
  111. Title, ownership rights, and intellectual property
  112. rights in the Software shall remain in Reynold M. de Guzman
  113. and/or its suppliers.  The Software
  114. is protected by the copyright laws and treaties.  Title
  115. and related rights in the content accessed through the
  116. Software is the property of the applicable content owner
  117. and may be protected by applicable law.  This License
  118. gives you no rights to such content.
  119.  
  120. TERMINATION.
  121.  
  122. The license will terminate automatically if you fail to
  123. comply with the limitations described herein.  On
  124. termination, you must destroy all copies of the Software
  125. and Documentation.
  126.  
  127. EXPORT CONTROLS.
  128.  
  129. None of the Software or underlying information or
  130. technology may be downloaded or otherwise exported or
  131. reexported (i) into (or to a national or resident of)
  132. Cuba, Iraq, Libya, Yugoslavia, North Korea, Iran, Syria
  133. or any other country to which the U.S.  has embargoed
  134. goods; or (ii) to anyone on the U.S.  Treasury
  135. Department's list of Specially Designated Nationals or
  136. the U.S.  Commerce Department's Table of Denial Orders.
  137. By downloading or using the Software, you are agreeing
  138. to the foregoing and you are representing and warranting
  139. that you are not located in, under the control of, or a
  140. national or resident of any such country or on any such
  141. list.

  143. In addition, if the licensed Software is identified as a
  144. not-for-export product, then the following
  145. applies: EXCEPT FOR EXPORT TO CANADA FOR USE IN CANADA
  146. BY CANADIAN CITIZENS, THE SOFTWARE AND ANY UNDERLYING
  147. TECHNOLOGY MAY NOT BE EXPORTED OUTSIDE THE UNITED STATES
  148. OR TO ANY FOREIGN ENTITY OR "FOREIGN PERSON" AS
  149. DEFINED BY U.S.  GOVERNMENT REGULATIONS, INCLUDING
  150. WITHOUT LIMITATION, ANYONE WHO IS NOT A CITIZEN,
  151. NATIONAL OR LAWFUL PERMANENT RESIDENT OF THE UNITED
  152. STATES.  BY DOWNLOADING OR USING THE SOFTWARE, YOU ARE
  153. AGREEING TO THE FOREGOING AND YOU ARE WARRANTING THAT
  154. YOU ARE NOT A "FOREIGN PERSON" OR UNDER THE CONTROL OF
  155. A FOREIGN PERSON.
  156.  
  157. LIMITATION OF LIABILITY.  UNDER NO CIRCUMSTANCES AND
  158. UNDER NO LEGAL THEORY, TORT, CONTRACT, OR OTHERWISE,
  159. SHALL Reynold M. de Guzman OR ITS SUPPLIERS OR 
  160. RESELLERS BE LIABLE TO YOU OR ANY OTHER PERSON FOR ANY 
  161. INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES 
  162. OF ANY CHARACTER INCLUDING, WITHOUT LIMITATION, DAMAGES 
  163. FOR LOSS OF GOODWILL, WORK STOPPAGE, COMPUTER FAILURE OR
  164. MALFUNCTION, OR ANY AND ALL OTHER COMMERCIAL DAMAGES OR
  165. LOSSES.  IN NO EVENT WILL Reynold M. de Guzman BE 
  166. LIABLE FOR ANY DAMAGES IN EXCESS OF THE AMOUNT 
  167. Reynold M. de Guzman RECEIVED FROM YOU FOR A LICENSE 
  168. TO THE SOFTWARE, EVEN IF Reynold M. de Guzman
  169. SHALL HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH
  170. DAMAGES, OR FOR ANY CLAIM BY ANY OTHER PARTY.  THIS
  171. LIMITATION OF LIABILITY SHALL NOT APPLY TO LIABILITY FOR
  172. DEATH OR PERSONAL INJURY TO THE EXTENT APPLICABLE LAW
  173. PROHIBITS SUCH LIMITATION.  FURTHERMORE, SOME
  174. JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION
  175. OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THIS
  176. LIMITATION AND EXCLUSION MAY NOT APPLY TO YOU.
  177.  
  178. HIGH RISK ACTIVITIES.
  179.  
  180. The Software is not fault-tolerant and is not designed,
  181. manufactured or intended for use or resale as on-line
  182. control equipment in hazardous environments requiring
  183. fail-safe performance, such as in the operation of
  184. nuclear facilities, aircraft navigation or communication
  185. systems, air traffic control, direct life support
  186. machines, or weapons systems, in which the failure of
  187. the Software could lead directly to death, personal
  188. injury, or severe physical or environmental damage
  189. ("High Risk Activities").  Reynold M. de Guzman
  190. and its suppliers specifically disclaim any express or 
  191. implied warranty of fitness for High Risk Activities.
  192.  
  193. MISCELLANEOUS.
  194.  
  195. This Agreement represents the complete agreement 
  196. concerning this license and may be amended only by a writing 
  197. executed by both parties.  THE ACCEPTANCE OF ANY 
  198. PURCHASE ORDER PLACED BY YOU IS EXPRESSLY MADE CONDITIONAL 
  199. ON YOUR ASSENT TO THE TERMS SET FORTH HEREIN, AND NOT 
  200. THOSE IN YOUR PURCHASE ORDER.  If any provision of this
  201. Agreement is held to be unenforceable, such provision 
  202. shall be reformed only to the extent necessary to make 
  203. it enforceable.  This Agreement shall be governed by 
  204. Missouri law (except for conflict of law provisions).  
  205. The application the United Nations Convention of 
  206. Contracts for the International Sale of Goods is 
  207. expressly excluded.
  208.  
  209. U.S.  GOVERNMENT RESTRICTED RIGHTS.  Use, duplication or
  210. disclosure by the Government is subject to restrictions
  211. set forth in subparagraphs (a) through (d) of the
  212. Commercial Computer-Restricted Rights clause at FAR
  213. 52.227-19 when applicable, or in subparagraph (c)(1)(ii)
  214. of the Rights in Technical Data and Computer Software
  215. clause at DFARS 252.227-7013, or at 252.211-7015, or to
  216. Reynold M. de Guzman's standard commercial license, as 
  217. applicable, and in similar clauses in the NASA FAR 
  218. Supplement. Contractor/manufacturer is
